FinCEN's Latest Guidance: BOI Submission Now Voluntary

On January 24, 2025, FinCEN released updated guidance following the U.S. Supreme Court's decision to overturn a nationwide injunction previously imposed by a federal judge in Texas, which had blocked the enforcement of the Corporate Transparency Act (CTA).

Despite this development, another nationwide order from a different federal judge in Texas remains active, meaning reporting companies are not currently obligated to file beneficial ownership information with FinCEN.

That said, FinCEN has clarified that reporting companies are still welcome to voluntarily submit beneficial ownership information reports if they choose.
